DONAIRO TERMS OF SERVICE

IMPORTANT: THESE TERMS ARE A LEGAL AGREEMENT. PLEASE READ THEM CAREFULLY.
These Terms of Service ("Terms") govern your access to and use of the Donairo website, applications, creator pages, dashboards, APIs, payment flows, content, and related services (collectively, the "Service"). In these Terms, "Donairo," "we," "us," and "our" refer to the Service made available under the Donairo name.
By accessing or using the Service, creating an account, connecting a payment account, publishing a creator page, making a donation, or otherwise interacting with the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
If you use the Service on behalf of an entity, organization, or business, you represent and warrant that you have authority to bind that entity to these Terms, and "you" includes both you and that entity.
1. THE SERVICE
Donairo is a technology platform that allows creators, educators, influencers, and other impact-driven users to create public pages, describe their mission, publish goals and updates, and receive one-time donations from supporters through third-party payment services.
Donairo is not a bank, money transmitter, stored value provider, escrow agent, trustee, insurer, tax advisor, legal advisor, charity regulator, or fiduciary. Payment processing and connected account services are provided by PayPal and related financial institutions, not by Donairo.
2. ELIGIBILITY
You may use the Service only if:
1. you can form a binding contract under applicable law;
2. you are not prohibited from using the Service under applicable law;
3. you are not located in, organized in, ordinarily resident in, or otherwise subject to restrictions that would make your use of the Service unlawful;
4. you are not listed on any sanctions, denied-party, blocked-party, anti-money laundering, anti-terrorism, or similar restricted-party list; and
5. all information you submit to us and to payment providers is accurate and complete.
You are solely responsible for ensuring that your access to and use of the Service, your content, your fundraising activities, your donations, your receipt of funds, and your transactions through the Service are lawful in every jurisdiction that may apply to you, your beneficiaries, your supporters, your payment methods, your business activities, and your use of the Service.
You must be at least the age of majority in your jurisdiction to create a creator account, connect PayPal, or otherwise receive funds through the Service. If you are under the age of majority, you may not use the Service to receive donations. We recommend that supporters also be at least the age of majority; if you are under that age, do not use the Service unless applicable law clearly permits you to do so and a parent or legal guardian has authorized your use.
3. ACCOUNT REGISTRATION AND SECURITY
You may need an account to use some parts of the Service. You must:
1. provide accurate, current, and complete information;
2. keep your login credentials confidential;
3. promptly update your information if it changes;
4. maintain the security of your devices, email account, and password; and
5. promptly notify us at support@donairo.com if you suspect unauthorized access or misuse.
You are responsible for all activity that occurs under your account unless and to the extent caused solely by our gross negligence or willful misconduct. We may refuse registration, reclaim usernames or slugs, require additional verification, or suspend access where we believe it is reasonably necessary for security, fraud prevention, legal compliance, platform integrity, or risk management.
4. ACCOUNT TYPES AND ROLES
The Service includes different account roles, such as supporter, creator, and administrator. We may assign, change, or revoke roles when reasonably necessary for platform operations, support, security, or compliance.
Creator accounts may access features such as public creator pages, donation settings, fundraising goals, impact updates, publication controls, and payment-account connection flows.
5. CREATOR ONBOARDING, COUNTRY DETERMINATION, AND PAYPAL CONNECTION
To receive donations as a creator, you may be required to complete onboarding steps, including choosing a slug, creating profile content, and connecting a PayPal account.
You acknowledge and agree that:
1. your country of record is determined by the country associated with your PayPal account and is retrieved by Donairo from PayPal when you connect your PayPal account;
2. the country determined from your PayPal account is material to payout eligibility, tax treatment, risk management, and payment-provider configuration;
3. once set, your country is permanent on the Service and cannot be changed through your existing creator profile, including by reconnecting a different PayPal account or by disconnecting and reconnecting your PayPal account;
4. if you need a different country, Donairo may require you to create a new creator profile or account, and any prior profile, payout setup, or configuration may not transfer;
5. if your PayPal account is associated with a country that Donairo does not currently support, your connection may be refused and you may not be able to receive donations through the Service;
6. your available currencies, payout options, and other settings may depend on your payment-provider account and country;
7. your accepted donation currency is initially seeded from your PayPal account. You may later change the accepted donation currency through your dashboard settings to any other currency supported by the Service. Changing the accepted currency will archive any active donation goals denominated in the previous currency (rather than converting them) and will reset currency-dependent donation settings, such as suggested donation amounts and minimum donation amount, to defaults appropriate for the new currency. You are solely responsible for reviewing and reconfiguring those settings after a change. We may record and retain a history of your currency changes for audit, accounting, and anti-fraud purposes;
8. you may disconnect your PayPal account from the Service through your dashboard. Disconnection will unpublish your creator page, disable new donations, clear your connected merchant identifier, and block late or duplicate webhook events relating to that merchant from re-linking your profile. Your country of record, accepted currency, currency change history, donation goals, donation settings, donation records, and audit logs will be preserved so that reconnecting a PayPal account later does not require rebuilding your profile. If you were published at the time of disconnection, the Service may automatically republish your page when a new PayPal connection becomes fully active, unless you have since unpublished manually, closed your account, or been suspended;
9. PayPal may require identity verification, bank account information, tax information, or other information directly from you; and
10. we may deny, delay, or revoke creator access or publication if onboarding is incomplete or if a payment provider restricts your account.
By connecting PayPal or another payment provider, you authorize us to share information and instructions necessary to create, maintain, refresh, or manage your connected payment account and related status information, and you authorize us to retrieve limited identity information from PayPal, including your country of record, for the purposes described in these Terms.
Your legal name, business name, or other account details held by your payment provider may be disclosed to supporters, card networks, banks, or other parties in the normal course of payment processing, including but not limited to transaction records, statement descriptors, receipts, refund notices, chargeback proceedings, dispute resolution, fraud investigations, and regulatory inquiries. While Donairo takes reasonable steps to display its own branding in connection with transactions, we do not control and cannot guarantee what information payment providers, card networks, issuing banks, or other financial intermediaries may surface about your connected account to third parties.
Your use of payment-provider services is also subject to that provider's terms, policies, and requirements. Donairo is not responsible for PayPal's acts, omissions, holds, reserves, rolling payouts, verification decisions, disputes, compliance determinations, or account terminations.
For creators in Australia: PayPal services in Australia are provided only by PayPal Australia Pty Ltd (AFSL 304962). You can contact PayPal via the Help & Contact section at paypal.com/au. Donairo is not an agent, representative, or Authorized Representative of PayPal or PayPal Australia, and does not provide financial services on their behalf.
6. FEES, PAYMENTS, AND PAYOUTS
Donairo may charge platform fees, and payment processors may charge processing fees. Applicable fees may be shown on the pricing page, during checkout, in creator settings, or otherwise within the Service. By using the Service, you agree to those fees as displayed at the time of the relevant transaction.
Unless we expressly state otherwise:
1. platform fees are earned when a donation is successfully processed;
2. payment-processing fees are assessed by third-party payment providers;
3. fee coverage options, if offered, are optional and selected by the supporter at checkout;
4. payout timing, availability, rolling reserve practices, and settlement timing are determined by PayPal and related financial institutions; and
5. Donairo may change fees prospectively by updating the Service or giving notice, subject to applicable law.
Processing rates and related third-party fees displayed within the Service are maintained to reflect PayPal's published schedules as closely as practicable. These schedules are set by PayPal and may be revised without prior notice to Donairo; the amounts actually assessed by PayPal — and accordingly the net amount a creator receives — may vary from the figures displayed in fee previews, examples, and rate tables.
Donairo is not responsible for exchange rates, card issuer fees, bank fees, processor fees, tax withholding, or other charges imposed by third parties.
7. DONATIONS; VOLUNTARY GIFT CHARACTERIZATION
Donations made through the Service are voluntary, non-reciprocal personal gifts supporting a creator's mission, content, or goals. All donations are intended by the parties to be gifts within the ordinary meaning of that term. Supporters donate freely and voluntarily, without expectation or receipt of goods, services, work product, access, consideration, or any other deliverable in return. Donations must not be used as consideration, compensation, or payment in exchange for goods, services, work product, access, or any other deliverable. The Service is not a marketplace, freelancing platform, e-commerce platform, or invoicing tool.
By making a donation, you acknowledge and agree that your donation is a voluntary personal gift to the creator and is not a payment for goods or services. By receiving a donation, the creator acknowledges and agrees that the donation is a voluntary personal gift from the supporter and is not earned income, compensation, or consideration for goods, services, or any other deliverable.
Donairo does not guarantee that a creator will use donations in any particular manner unless a separate written agreement expressly says otherwise.
By making a donation, you acknowledge and agree that:
1. your donation is directed to the creator identified at checkout, using the Donairo platform and payment rails we make available;
2. Donairo does not independently verify every creator representation, campaign statement, charitable status, tax status, or use-of-funds description;
3. unless otherwise required by law or expressly approved by the applicable creator, PayPal, or Donairo, donations are final;
4. refund requests, chargebacks, reversals, payment disputes, and fraud investigations may affect the creator, the donation record, and your access to the Service;
5. refunds, chargebacks, disputes, reversals, and related fees are debited by PayPal from the creator's connected payment account, not from Donairo;
6. Donairo may assist with support, fraud review, or operational issues, but is not obligated to grant refunds or mediate disputes;
7. while Donairo intends for transactions to appear under its own branding on payment statements, the creator's legal name, business name, or other account details may be surfaced by payment providers, card networks, banks, or other financial intermediaries in connection with transaction records, disputes, refund notices, receipts, or other payment-related communications; and
8. if you choose to donate anonymously, that setting controls public display only. The creator will still see your name and email address in their private dashboard, and PayPal independently discloses the payer's name and email address to the creator through its own payment notifications and receipts, which Donairo does not control. Anonymous donation settings also do not mean that Donairo, PayPal, financial institutions, or other necessary service providers will be unable to process transaction-related information.
We may, at our sole discretion, refuse, cancel, block, reverse, or refund any transaction for any lawful reason, including but not limited to suspected fraud, sanctions concerns, legal compliance, duplicate payments, technical errors, misuse, risk controls, or payment-provider requirements. Any refund or reversal — including the original transaction amount and any associated fees — will be debited from the creator's connected payment account.
8. TAXES, CHARITY STATUS, RECEIPTS, AND TAX REPORTING
Donairo is not a registered charity platform and does not verify whether a creator is a registered charity or qualified donee. Unless Donairo expressly states otherwise in writing for a specific creator or campaign, donations made through the Service are not represented by Donairo as tax-deductible.
Because donations made through the Service are voluntary personal gifts and not payments for goods or services, Donairo does not treat donations as earned income of the creator. Donairo will not provide creators with tax documentation (such as IRS Form 1099-K or equivalent informational returns) for donations received through the Service, nor will Donairo report donations received by creators as earned income to any tax authority. This does not limit Donairo's ability to comply with applicable law, respond to valid legal process, or cooperate with governmental authorities.
Creators are solely responsible for determining and complying with all laws, rules, and obligations relating to taxes, receipts, reporting, registration, consumer protection, fundraising regulation, charitable solicitation, anti-money laundering, sanctions, export controls, and payout eligibility. Creators should consult their own tax advisors regarding the tax treatment of donations received through the Service.
Supporters are solely responsible for their own tax treatment, recordkeeping, and reliance on any representation regarding tax deductibility. Donairo does not provide supporters with tax receipts or documentation certifying the deductibility of any donation.
9. CREATOR CONTENT, GOALS, AND UPDATES
Creators may upload or publish biographies, mission statements, images, banners, goals, updates, donation settings, and other content. You retain ownership of content you submit, but you grant Donairo a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, distribute, adapt for technical formatting, moderate, and otherwise use that content as reasonably necessary to operate, improve, secure, promote, and enforce the Service.
You represent and warrant that:
1. you own or control all rights necessary to submit and publish your content;
2. your content and fundraising representations are accurate and not misleading;
3. your content does not infringe any intellectual property, privacy, publicity, or other rights;
4. your content does not violate applicable law or these Terms; and
5. you will not use the Service to impersonate any person or entity or misrepresent your affiliation, identity, qualifications, status, or purpose.
10. PUBLICATION, VISIBILITY, AND CREATOR CONTROLS
Donairo may allow creators to publish or unpublish their pages, display recent donations, show supporter messages, enable anonymous donations, configure suggested donation amounts, and publish impact updates or goals.
Notwithstanding any creator setting, Donairo may limit visibility, decline publication, remove content, or suspend access where reasonably necessary to protect users, comply with law, respond to risk, or preserve platform integrity.
11. PROHIBITED CONDUCT
You may not, and may not permit any third party to:
1. use the Service for any illegal, fraudulent, deceptive, abusive, harassing, defamatory, hateful, obscene, or infringing purpose;
2. solicit, collect, receive, transfer, or route funds in violation of law or third-party payment rules;
3. engage in money laundering, terrorist financing, sanctions evasion, fraud, phishing, account takeover, card testing, or similar abuse;
4. mislead supporters about your identity, affiliation, fundraising purpose, charitable status, or intended use of funds;
5. upload malware, malicious code, harmful scripts, or exploit the Service;
6. interfere with the integrity, performance, security, or availability of the Service;
7. reverse engineer, scrape, harvest, or collect data from the Service except as expressly permitted by us or by applicable law;
8. circumvent rate limits, authentication, content moderation, payout restrictions, or access controls;
9. infringe copyrights, trademarks, publicity rights, privacy rights, or other rights;
10. use the Service to violate consumer-protection, advertising, fundraising, tax, or payment laws;
11. use the Service to sell goods or services, collect payment for work performed, fulfill orders, invoice clients, or otherwise receive consideration in exchange for a deliverable, whether or not described as a "donation"; or
12. encourage or enable any other person to do any of the foregoing.
Without limiting the foregoing, you may not use the Service, or permit the Service to be used, in connection with any activity that is unlawful, restricted, regulated, prohibited, or actionable under any law, regulation, rule, order, sanctions regime, licensing requirement, or governmental requirement that may apply in any relevant jurisdiction, including where you reside, are located, are organized, operate, solicit funds, receive funds, direct activities, or access the Service.
12. DONAIRO'S RIGHTS TO MODERATE, SUSPEND, AND TERMINATE
We may, at any time and with or without prior notice, investigate, restrict, suspend, unpublish, disable, remove, or terminate any account, creator page, transaction, or content, in whole or in part, if we believe doing so is reasonably necessary or appropriate to:
1. enforce these Terms or other policies;
2. protect users, Donairo, PayPal, or third parties;
3. comply with law, regulation, court order, or lawful request;
4. address fraud, chargebacks, abuse, security incidents, or platform misuse;
5. preserve platform integrity or reputation; or
6. respond to payment-provider restrictions or elevated risk.
To the maximum extent permitted by applicable law, we also reserve the right to refuse service, decline registration, reject or cancel transactions, remove content, or deny, restrict, suspend, or terminate access to the Service at any time for any lawful reason, including where we determine, in our sole discretion, that a user, transaction, activity, or content presents legal, regulatory, financial, operational, reputational, security, or abuse risk.
We may also revoke active sessions, block future access, preserve records, and cooperate with payment providers, regulators, law enforcement, rights holders, or affected parties.
13. INTELLECTUAL PROPERTY AND PLATFORM RIGHTS
Except for user content and third-party materials, the Service and all related software, designs, text, branding, logos, compilations, interfaces, workflows, and technology are owned by Donairo or its licensors and are protected by intellectual property and other laws.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for its intended purpose. You may not use our branding, copy, or platform assets except as expressly permitted by us.
14. FEEDBACK
If you provide suggestions, comments, ideas, or feedback about the Service, you grant Donairo a worldwide, perpetual, irrevocable, royalty-free right to use, modify, incorporate, and exploit that feedback without restriction or compensation.
15. THIRD-PARTY SERVICES
The Service may depend on or interoperate with third-party services, including PayPal, email providers, hosting providers, payment networks, banks, and related infrastructure. We are not responsible for third-party services, third-party terms, or third-party failures. We do not control and do not guarantee the availability, uptime, performance, or continuity of any third-party service, and any third-party service may become unavailable, degraded, or discontinued at any time without notice, which may interrupt or disable some or all of the Service. Your use of those services may be subject to separate agreements with those providers.
16. PRIVACY
Your use of the Service is also subject to our Privacy Policy. By using the Service, you acknowledge that Donairo may collect, use, store, transfer, and disclose information as described there.
17. SERVICE AVAILABILITY AND CHANGES
Donairo does not guarantee any uptime or availability of the Service. The Service is provided without any service-level agreement, uptime commitment, or availability warranty of any kind. We may modify, suspend, discontinue, or restrict any part of the Service at any time, and we do not guarantee continuous availability, uninterrupted access, or error-free operation.
The Service, in whole or in part, may become unavailable, interrupted, or degraded at any time, with or without notice, for any reason, including scheduled or unscheduled maintenance, updates, security measures, capacity or infrastructure issues, technical failures, or events beyond our reasonable control. The same applies to the third-party services, integrations, and infrastructure used by or supporting the Service (including PayPal and other payment providers, hosting providers, email providers, payment networks, banks, and related services), any of which may fail or become unavailable at any time without notice and which are outside our control. Donairo has no obligation to provide advance notice of any downtime, outage, or interruption, and, to the maximum extent permitted by applicable law, will not be liable for any unavailability of the Service or of any third-party service, or for any resulting loss, including donations, payouts, or other transactions that are missed, delayed, failed, or cannot be processed.
We may release updates, bug fixes, new features, operational changes, or security controls without notice. Some features may vary by user, country, currency, account status, or payment-provider eligibility.
18. DISCLAIMERS
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, OR THAT THE SERVICE WILL BE SECURE, ERROR-FREE, OR UNINTERRUPTED.
WITHOUT LIMITING THE FOREGOING, DONAIRO DOES NOT WARRANT OR GUARANTEE:
1. the identity, honesty, qualifications, solvency, legitimacy, or conduct of any user, creator, supporter, or third party;
2. that any donation will be completed, authorized, settled, paid out, or not later reversed;
3. that a creator will use funds in any particular way;
4. that any creator or campaign qualifies for charitable treatment or tax deductibility;
5. that any payment provider will approve or maintain an account;
6. that any data, content, or information will be accurate, complete, or current;
7. any uptime, availability, or continuity of the Service or of any third-party service, integration, or infrastructure used by or supporting the Service; or
8. that the Service will meet your needs or expectations.
19. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
1. DONAIRO AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, USE, SAVINGS, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
2. DONAIRO WILL NOT BE LIABLE FOR ANY CLAIMS ARISING FROM OR RELATING TO THIRD-PARTY SERVICES, CREATOR CONDUCT, SUPPORTER CONDUCT, CHARGEBACKS, FRAUD, TAX ISSUES, CHARITY STATUS, PAYMENT-PROVIDER RESTRICTIONS, GOVERNMENT ACTIONS, OR THE USE OR MISUSE OF DONATED FUNDS BY A CREATOR.
3. DONAIRO'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT OF PLATFORM FEES PAID TO DONAIRO BY YOU IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) CAD $100.
Some jurisdictions do not allow certain limitations or exclusions. In those jurisdictions, the above limitations apply only to the maximum extent permitted by law.
20. INDEMNITY
To the maximum extent permitted by applicable law, you will defend, indemnify, and hold harmless Donairo and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, demands, actions, investigations, losses, damages, liabilities, judgments, penalties, costs, and expenses (including reasonable legal fees) arising out of or relating to:
1. your use of the Service;
2. your content;
3. your donations, fundraising, or receipt of funds;
4. your breach of these Terms;
5. your violation of applicable law or third-party rights; or
6. any dispute between you and another user, including a creator-supporter dispute.
21. DISPUTE RESOLUTION, GOVERNING LAW, AND VENUE
Before filing a claim, you agree to try to resolve the dispute informally by contacting support@donairo.com and providing a written description of the issue, the relevant account or transaction details, and the relief sought. The parties will attempt in good faith to resolve the dispute informally for at least 30 days, unless immediate relief is necessary.
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your use of the Service are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law principles.
Subject to applicable law, you and Donairo agree that any dispute not resolved informally will be brought exclusively in the courts located in Ontario, Canada, and each party irrevocably submits to those courts.
To the extent permitted by applicable law, you and Donairo agree that each may bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, collective, representative, or private attorney general proceeding. If this waiver is found unenforceable as to a particular claim or remedy, that claim or remedy must be severed and resolved to the fullest extent permitted, and the remainder of these Terms will remain in force.
Nothing in these Terms limits any mandatory consumer rights or non-waivable rights you may have under applicable law.
22. ELECTRONIC COMMUNICATIONS
You consent to receive communications from us electronically, including emails, in-app messages, notices, disclosures, receipts, and legal communications. You are responsible for keeping your contact information current.
23. CHANGES TO THESE TERMS
We may update these Terms from time to time. The updated version will be effective when posted, unless a later effective date is stated. If we make a material change, we may provide additional notice by email, in-app notice, or other reasonable means.
By continuing to use the Service after updated Terms become effective, you agree to the revised Terms.
24. SEVERABILITY, ASSIGNMENT, AND ENTIRE AGREEMENT
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Donairo may assign or transfer these Terms, in whole or in part, without restriction. You may not assign these Terms without our prior written consent.
These Terms, together with the Privacy Policy and any additional terms expressly incorporated by reference, constitute the entire agreement between you and Donairo regarding the Service and supersede prior or contemporaneous understandings relating to the Service.
